My client, a remote-only boutique corporate firm, is looking for an experienced transactional attorney. The firm's practice serves mostly startups and early-stage companies.
Responsibilities
### Responsibilities
- Organizing and documenting new entities, corporations, and LLCs.
- Documenting initial relationships (shareholders, developers, employees, customers).
- Setting up Terms of Service and Privacy Notices on websites and apps.
- Reviewing and drafting NDAs, stock option agreements, subscription agreements, and other documents.
- Managing matters day to day, including managing associates.
Requirements
### Requirements
- 2+ years of experience in transactional law.
- Experience in corporate organization (especially Delaware).
- Familiarity with funding transactions for startups (SAFE, convertible debt, Series A).
- Knowledge of corporate governance (shareholder and Board resolutions).
- Understanding of FinTech contracts (MSAs, SOWs).
- Experience with privacy law compliance.
- Knowledge of trademarks and copyrights.
- Familiarity with blockchain/cryptocurrency.
